Valuation de empresa segue rotina de medida de valor diante de cenário de comportamento fundamentado e de análise de distorções do valor medido, impondo perturbações de comportamento em cenários estressados. O mercado brasileiro tem experimentado um número expressivo de ofertas de ações de empresas de real estate focadas em empreendimentos residenciais para venda, sem nenhuma indicação dos parâmetros utilizados para valuation, todas elas com grandes prêmios relativamente ao valor patrimonial verificado. O que se conhece no mercado é que as ofertas têm-se fundamentado em multiplicadores do EBITDA verificado em ciclo amostral muito curto, parâmetros estes buscados no mercado por prevalência, média, ou mera especulação cruzada. O investidor conservador, para aplicar seus recursos, terá que fazer sua análise da qualidade do investimento, encontrando a taxa de retorno esperada no valor da oferta, o valor de sustentação da ação no longo prazo e os parâmetros de risco do investimento, avaliando a distorção daqueles indicadores sob perturbações de comportamento. O especulador poderá fazer uma leitura mais simples, fazendo benchmarking pela mesma via dos multiplicadores. Este artigo mostra índices e vieses de mercado e, usando uma oferta ocorrida, faz alguns dos tópicos mais relevantes da análise da qualidade do investimento, para ilustrar rotinas e para oferecer dados para crítica.


Companies or stocks valuation must follow routine that measures value under behavior scenario, supported by adequate data, verified from the company operations in the past and the projected performance for the future. This measured value has to be criticized, analyzing the effect of behavior disturbances in stressed scenarios. The Brazilian capital market has been experimented an expressive number of IPOs of real estate local corporations, with core business in residential developments to sale. The offering memos of these IPO’s have no information about the valuation parameters although the offering stock prices include expressive value premiums against its book value. What is known is that the offerings use parameters to multiply the EBITDA and than pricing the stock. These parameters are found in the market, as the prevalent, the average, or the speculated as feasible to sell the stocks. One investor, that has a conservative attitude, has to analyze himself the investment quality, design scenarios and measure, at least, the expected IRR, the expected stock value along the investment cycle, and the investment risks. This article shows indexes and market biases and, using an actual IPO offer, produces and criticizes the most relevant indicators, to show the quality and risks of the proposed investment. The objective is illustrate routines for analyze and offer market data for critics.
